Why invest as a business?
The new Box 3 tax system, which is expected to come into effect from 2028, may mean that you will have to pay tax on unrealised gains, even if you haven’t sold your crypto. In other words, you could end up owing tax without having generated any actual liquidity.
That’s why it may be worth considering holding (part of) your crypto assets in a private limited company (BV) under Box 2. Within a BV, tax is levied on realised profits, giving you more control over when assets are paid out to you privately. This provides greater clarity and control over your tax position and allows you to structure your wealth more strategically for the long term.

Het vermogen, zoals bitcoin of andere cryptoactiva, wordt in de BV aangehouden zonder dat er direct vermogensbelasting of inkomstenbelasting wordt geheven, zolang het binnen de BV blijft. Dit zorgt voor uitstel van belastingheffing, waardoor het vermogen onbelemmerd kan groeien, zonder dat je jaarlijks belasting betaalt over de waarde of rendement. Wanneer je het vermogen wilt aanspreken voor privégebruik of om te profiteren, moet je het uit de BV halen. Op dat moment betaal je daar belasting over, bijvoorbeeld via dividenduitkeringen of winstverdeling.
Many entrepreneurs face the same question: should you invest privately (Box 3) or through a BV (Box 2)? Under the current system, investing privately is often more advantageous. Thanks to the tax-free allowance, investments are frequently untaxed up to a certain threshold. In 2025, the tax-free allowance is €57,684 (or €115,368 for fiscal partners).
Above this threshold, assets are taxed based on a deemed (notional) return. In 2025, this deemed return is 5.88%, taxed at a rate of 36%. For crypto investments, this deemed return can be relatively favourable, as actual returns on crypto assets are often higher.
The key difference between private and corporate investing is that in Box 3, the asset value is taxed, whereas in a BV, the actual return is taxed. Within a BV, you pay corporate income tax on realised capital gains. If you subsequently distribute the profits to yourself privately, an additional 24.5% dividend tax applies.
However, there comes a point where the benefits of Box 3 diminish. Once your assets exceed the exemption and you are liable for wealth tax, investing through a BV may become more attractive. The most suitable option for your situation depends on various factors and should be discussed with your accountant.
How does investing privately versus through a company work?
Box 3 (private assets)
Tax is levied on a deemed return (not your actual profit).
The tax rate is applied to this notional return; annual tax filing required.
Generally less favourable when actual returns are low or defensive (e.g. savings).
Box 2 (BV / holding company)
Investing through a BV: corporate income tax is levied on actual profits.
Box 2 tax only applies when profits are distributed as dividends to you privately.
You can reinvest profits within the BV, effectively deferring personal taxation.
Please note: the Box 3 system is set to change. Under the new rules, you may be taxed on unrealised gains, including on crypto. For that reason, it may be worth considering holding (part of) your crypto assets within a BV, giving you greater control over the timing of taxation and enabling more strategic planning.
